Terms of Service

These terms govern your use of the AuraStacks Technology website, services, and software products. Please read them carefully before engaging us or using our platforms.
Acceptance of Terms
By accessing our website (aurastacks.com), engaging AuraStacks Technology for services, or using any of our software products, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
AuraStacks Technology reserves the right to update these terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised terms. We will notify clients of material changes via email where possible.
Our Services
AuraStacks Technology provides custom software development, mobile application development, ERP systems, IT consulting, and related technical services. We also develop and operate proprietary SaaS products including Invoice Manager (invoice.aurastacks.com) and the School Result Management System, SRMS (srms.aurastacks.com).
Service agreements
Engagement for custom development or consulting services is governed by a separate written agreement (Statement of Work or Service Agreement) signed by both parties. These Terms of Service apply in addition to, and do not replace, any such agreement.
Service availability
We strive to maintain high availability for our products and services. However, we do not guarantee uninterrupted access and reserve the right to perform maintenance, upgrades, or suspend services in circumstances outside our control.
Client Obligations
When engaging AuraStacks Technology for services, you agree to:
Provide accurate information
Supply accurate, complete, and timely information required for us to deliver your project. Delays caused by incomplete or inaccurate information provided by the client are not the responsibility of AuraStacks Technology.
Timely feedback and approvals
Respond to requests for feedback, review, or approval within the timelines agreed in your project schedule. Prolonged delays in client feedback may affect delivery timelines and could result in additional costs.
Lawful use
Ensure that the software, systems, or products we build for you are used lawfully and in compliance with all applicable Nigerian laws and regulations. You are responsible for the legal compliance of your business operations.
Payment
Honour the payment schedule outlined in your service agreement. AuraStacks Technology reserves the right to pause or suspend work on projects where payment obligations are not met.
Intellectual Property
Custom development work
Upon receipt of full payment, clients receive ownership of the custom code and deliverables created specifically for their project, as outlined in the signed service agreement. AuraStacks Technology retains the right to use general techniques, methodologies, and know-how developed during the project.
Third-party components
Software deliverables may incorporate open-source libraries or third-party components. These remain subject to their respective licences. AuraStacks Technology will disclose any such components used in your project.
AuraStacks products
All intellectual property in our proprietary products — including Invoice Manager and SRMS — remains exclusively owned by AuraStacks Technology. Users are granted a limited, non-exclusive, non-transferable licence to use these products in accordance with their respective product terms.
Portfolio rights
Unless explicitly agreed otherwise in writing, AuraStacks Technology reserves the right to reference completed projects (by name and general description) in our portfolio and marketing materials.
Payment Terms
Project payments
Payment schedules for custom development projects are defined in the individual service agreement. Typical arrangements include an upfront deposit before work begins, with milestone-based payments thereafter.
SaaS subscriptions
Subscription fees for our products are billed according to the plan selected at sign-up. Subscriptions auto-renew unless cancelled before the next billing cycle.
Late payments
Invoices unpaid beyond the agreed due date may attract a late payment notice. AuraStacks Technology reserves the right to suspend access to products or pause project work until outstanding balances are settled.
Refunds
Refunds for services already rendered are not guaranteed and are assessed on a case-by-case basis. For SaaS products, refunds may be granted at our discretion within 14 days of a billing charge where a genuine fault on our part is identified.
Confidentiality
AuraStacks Technology treats all client business information, project details, and data shared with us as strictly confidential. We will not disclose your information to third parties except as required to deliver your project (e.g., to hosting providers), where legally required, or with your explicit consent.
Clients are expected to treat any proprietary methodologies, pricing, and internal information shared by AuraStacks Technology as confidential. Where a formal Non-Disclosure Agreement (NDA) is required, we are happy to sign one before project discussions begin.
Limitation of Liability
To the fullest extent permitted by applicable law, AuraStacks Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or products — including but not limited to loss of revenue, data, or business opportunities.
Our total liability for any claim arising from a service engagement shall not exceed the total amount paid by the client to AuraStacks Technology in the three months preceding the claim.
We are not responsible for losses arising from third-party service failures (e.g., cloud hosting providers, payment gateways, or internet outages) that are outside our direct control.
Warranties & Disclaimers
AuraStacks Technology warrants that services will be performed with reasonable skill and care, consistent with professional standards in the software industry.
Except as expressly stated, our website and products are provided 'as is' without warranties of any kind — express or implied — including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that our website or products will be error-free, uninterrupted, or free from viruses or other harmful components. You are responsible for maintaining appropriate backups of your data.
Acceptable Use
You agree not to use our website, services, or products to:
Illegal activities
Engage in any activity that violates applicable Nigerian or international laws, including fraud, money laundering, or intellectual property infringement.
Harmful conduct
Transmit malicious code, attempt to gain unauthorised access to our systems or those of other users, or engage in any activity that could damage, disable, or impair our infrastructure.
Misrepresentation
Impersonate AuraStacks Technology, our team, or any other person or entity, or make false or misleading statements about your relationship with us.
Violation of this acceptable use policy may result in immediate suspension or termination of access to our services, without refund.
Termination
By the client
You may terminate a service engagement by providing written notice as specified in your service agreement. Fees for work completed up to the termination date remain payable.
By AuraStacks Technology
We reserve the right to terminate or suspend services at our discretion if you breach these terms, fail to meet payment obligations, or engage in conduct that we reasonably consider harmful to our business or other clients.
SaaS product accounts
You may close your account on any of our products at any time. We will process account closures and data deletion in accordance with our Privacy Policy.
Governing Law & Disputes
These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
Before initiating formal legal proceedings, we encourage both parties to attempt to resolve disputes informally by contacting us at hello@aurastacks.com. We commit to responding to all formal dispute notices within 10 business days.
